EasyCloudify Marketplace Terms and Conditions

Introduction

These EasyCloudify Marketplace Terms and Conditions (“Terms”) are entered into between EasyCloudify LLC, a cloud hosting company based in the United States, and you and your company (“Vendor,” “you,” or “your”). These Terms apply to Vendor’s publication of information regarding Vendor’s software, data, media, service, product, Add-On, or other offering (“Vendor Offering”) and product information and images regarding your Vendor Offering (“Listing Information”) on the site maintained by EasyCloudify LLC, where it provides information about certain third-party offerings (“EasyCloudify Marketplace”).

By submitting your Vendor Offering to EasyCloudify LLC for publication on the EasyCloudify Marketplace, you represent and warrant that you have the authority to bind Vendor to these Terms and agree to do so.

1. Submission, Approval, and Publication of Vendor Offerings

1.1. Submission Process

To participate in the EasyCloudify Marketplace, Vendor must submit a request in the required form.
The submission requirements are outlined in the EasyCloudify Marketplace Publishing Guidelines, available through email [email protected].
EasyCloudify LLC may update these guidelines at its sole discretion.
EasyCloudify LLC reserves the right to reject any Vendor application for any reason.

1.2. Presentation of Vendor Offerings

EasyCloudify LLC determines how Vendor Offerings and Listing Information appear in the Marketplace.
Vendor grants EasyCloudify LLC a limited, non-exclusive, royalty-free license to use and display Listing Information.

1.3. License to Vendor Marks

Vendor grants EasyCloudify LLC a non-exclusive, royalty-free license to use Vendor’s trademarks and logos (“Vendor Marks”) for marketing the Vendor Offerings in the EasyCloudify Marketplace.

1.4. Security Requirements

Vendors must implement reasonable security measures to prevent unauthorized access.
Any security breaches must be reported to EasyCloudify LLC within 24 hours via [email protected].

2. Licensing and Support of Vendor Offerings

EasyCloudify LLC is a forum for displaying Listing Information and is not responsible for transactions between Vendors and Customers.
Vendors are responsible for selling, licensing, and supporting their own offerings.

3. Confidentiality and Data Protection

3.1. Confidentiality Obligations

Both parties agree to protect and not disclose each other's Confidential Information.

3.2. Privacy Policy Compliance

Vendors must maintain a Privacy Policy outlining their data processing and protection practices.

4. Limited Warranties and Disclaimer of Warranty

4.1. Vendor Representations and Warranties

Vendors must ensure that all submitted information is accurate and legally compliant.

4.2. Disclaimer

The EasyCloudify Marketplace is provided “as-is”, with no warranties of any kind.

5. Add-On Terms, Revenue Share, and Payments

5.1. Add-On Pricing & Revenue Share

Vendors receive 75% of Net Collected Revenue from their Add-On sales.
EasyCloudify LLC retains the right to adjust the revenue share structure with 30 days’ notice.

5.2. Payment Terms

EasyCloudify LLC will process Vendor payments within 60 days after the end of each calendar month.
Vendors must complete tax documentation before receiving payments.

6. Termination & Removal from Marketplace

Either party may terminate these Terms with 90 days’ notice.
EasyCloudify LLC may remove any Vendor Offering at any time without prior notice.

7. Indemnification

Vendors agree to defend, indemnify, and hold EasyCloudify LLC harmless from any legal claims or liabilities arising from:

Intellectual property disputes related to Vendor Offerings.
Customer disputes related to Vendor products or services.
Vendor’s breach of these Terms or any applicable law.

8. Limitation of Liability

EasyCloudify LLC’s liability is capped at $500.
Neither party is liable for lost profits, data, or business interruptions.

9. Governing Law & Dispute Resolution

These Terms are governed by the laws of Delaware, USA.
Any disputes will be resolved through binding arbitration in Delaware.

10. Miscellaneous

10.1. Compliance with Laws

Vendors must comply with all applicable laws, including data privacy and export regulations.

10.2. Modifications

EasyCloudify LLC may amend these Terms at any time, with changes taking effect upon posting.

11. Force Majeure

Neither party is responsible for delays caused by events beyond their reasonable control, such as natural disasters, cyberattacks, or legal restrictions.

Acknowledgment & Acceptance

By submitting a Vendor Offering to the EasyCloudify Marketplace, you acknowledge that you have read and agreed to these Terms.
